1. Preliminaries
1.1. The Foodora Pro Service is a subscription programme (hereinafter: “Foodora Pro Service”) offered by Delivery Hero Hungary Kft. (registered office: 1093 Budapest, Czuczor utca 2. 1. em., registration number: 01-09-668748, VAT number: 11187433-2-44, e-mail: info@foodora.hu, mailing address: 1243 Budapest, Pf.: 655. (Hungary), hereinafter: “Service Provider”).
1.2. These General Terms and Conditions (“Foodora Pro GTC”) set out the rules applicable to the Foodora Pro Service provided by the Service Provider to the Consumer. With regard to issues not regulated in the Foodora Pro GTC, the provisions of the general terms and conditions applicable to consumers using the Foodora delivery services relevant to the Foodora Pro Service and the Foodora service (“Consumer GTC”) shall be applied.
1.3. The definitions used in the Consumer GTC shall also apply to the Foodora Pro GTC. In case of any discrepancy between the Foodora Pro GTC and the Consumer GTC, the provisions of the Foodora Pro GTC shall prevail. The current version of the Foodora Pro GTC in force is accessible through the user interfaces for managing subscriptions (after signing in). The current version of the Consumer GTC in force is accessible through the foodora mobile app and the foodora.hu website as well.
2. Availability of the Foodora Pro Service
2.1. The Foodora Pro Service is only available to Consumers registered with the Platform, in accordance with the Consumer GTC. The Foodora Pro Service shall only be used by private person Consumers in their own name. Private persons cannot be a subscriber of the Foodora Pro Service on behalf of a legal entity (or as representative of the legal person).
2.2. The Consumer using the Foodora Pro Service (for the purposes of this Foodora Pro GTC document, following subscription, referred to as: “Subscriber”) may receive discounted delivery and other discounts (hereinafter: “Foodora Pro Discount") from partners participating in the Foodora Pro Service(hereinafter: "Foodora Pro Partner") on the Platform. The Foodora Pro Service can be accessed by the Consumer by subscribing through the Platform.
2.3. The Foodora Pro Service can be accessed through a web browser or via mobile phone with iOS or Android operating system. The rules applicable to the Foodora Account required to use the Foodora Pro Service are set out in the Consumer GTC. The Service Provider shall take all reasonable information security measures to ensure that no unauthorised third party accesses the Foodora Account, including ensuring that unauthorised third parties cannot access the e-mail address and password provided.
2.4. The Subscriber shall have the exclusive right to use the Foodora Pro Service and may not share the Foodora Account with any other person. In case the Subscriber fails to comply with this provision, then the Service Provider may immediately ban the Subscriber's Foodora Account from the Platform. When the Subscriber’s Foodora Account is banned from the Platform, it may no longer submit any Orders or reclaim and fees paid as consideration for the Foodora Pro Service ("Subscription Fee").
3. Subscribing the Foodora Pro Service
3.1. The Consumer may begin subscribing to the Foodora Pro Service by selecting one of the Foodora Pro Service subscription user interfaces, marked as "pro", through the Platform. Such user interfaces include the start page of the application or the website, the sidebar of the application, the floating bars available on the platform, the detailed pages of the restaurants, the shopping basket, stipulating that the Service Provider reserves the right to change the user interfaces.
3.2. If the Consumer selects the user interface marked as "pro", the system displays the user interface with a description of the Foodora Pro Service, where more information is available about the Foodora Pro Service, in particular the range of discounts, the selectable subscription periods , the amounts to be paid, and also the Foodora Pro GTC and the Foodora Pro FAQ are available to read.
3.3. If the Consumer intends to use the Foodora Pro Service, it can subscribe by selecting the payment method on the next user interface with summary of the subscription details for the selected subscription period. The Consumer shall also provide the data of its credit or debit card on this interface.
3.4. The payment method of the Subscription Fee can be entered by adding a new debit or credit card(hereinafter: "Payment Method"), no cash, Google Pay or Apple Pay payment method is available. The Consumer warrants that it is entitled to pay the Subscription Fee using the Payment Method without violating the rights of any third party. The Subscriber acknowledges that the bank card information provided during the subscription process is stored by the Service Provider in the Foodora Account and will be displayed even if the Subscriber places an order with a non-Foodora Pro Partner. The Service Provider confirms that, when saving this bank card, no card data necessary for the payment transaction is be processed, collected, stored or accessed in any way by the payment service providers providing the card payment option.
3.5. The Consumer can access the Foodora Pro GTC by clicking on the "Terms and Conditions" link in the "Confirm Payment" and "Payment Method" sections. By ticking the checkbox referring to the General Terms and Conditions, the Consumer declares to have fully read the Foodora Pro GTC prior to subscribing, that it considers itself to be bound by the provisions thereof and that it accepts to enter into an automatically renewed subscription contract, the contents of which specified in this Foodora Pro GTC. The Subscriber shall not have any claims against the Service Provider arising from the Subscriber's failure to acknowledge the Foodora Pro GTC.
3.6. After the Consumer has successfully selected the Payment Method and accepted the Foodora Pro GTC by ticking the checkbox, it can start the process of validating the subscription by clicking on the "Confirm Subscription" button, which will take up to a few seconds. The Consumer acknowledges that selecting the "Confirm Subscription" button incurs a payment obligation.
3.7. Upon selecting the "Confirm Subscription" button, the system verifies the Payment Method data and whether the necessary funds for the Subscription Fee are available. The Consumer must enter the Payment Method even if the subscription is free of charge due to a trial period or other discount period. The Payment Method data are verified in such cases also, with the Service Provider charging 0 HUF using the Payment Method selected by the Consumer.
3.8. If the verification specified in section 3.7 was successful, the Subscriber receives instant confirmation of the success of the verification on the Platform and via e-mail as well, and will be entitled to use the benefits of the Foodora Pro Service. The contract for the Foodora Pro Service is concluded upon confirmation of the Service Provider via the Platform.
4. Properties of the Foodora Pro Service
4.1. The Consumer can subscribe to the Foodora Pro Service for the period of a month, six months or a year. The amount of the Subscription Fee for the Foodora Pro Service payable monthly, semi-annually or annually can be found on the Foodora Pro Service subscription user interfaces or, following subscription, on the My Subscriptions user interfaces. The Subscription Fee shall include all taxes and duties, and no amount in excess shall be charged by the Service Provider in relation to the Foodora Pro Service.
4.2. The Service Provider is entitled to offer a discounted Subscription Fee (even 0 HUF) to all Consumers upon the launch of the Foodora Pro Service, either to new subscribers as part of a permanently offered trial period or in the course of occasional campaigns. In addition to this, the Service Provider may also offer to the Consumers a coupon entitling them to a discount from the Subscription Fee, equal to all or some part of the Subscription Fee, either for new subscribers or available to all Consumers. In such cases, the payment obligation of the Consumer for the Foodora Pro Service may not or only partially be in effect. However, following the discount period, if the Subscriber has not cancelled the Foodora Pro Service, the Service Provider shall be automatically entitled to charge the specified Payment Method with the amount of the Subscription Fee for which the discount was used. If the Service Provider provides a Subscription Fee discount to new Subscribers, the Consumer is not entitled to the discount associated with the new Subscription if the Consumer previously had a Subscription to the Foodora Pro Service.
4.3. Foodora Pro is an automatically renewed service on a monthly, semi-annual, or annual basis(hereinafter collectively: the "Subscription Period"), which means that the Service Provider automatically keeps charging the Subscription Fee before the last hour of the Subscription Period until the Subscriber cancels the subscription in accordance with section 6, or the Service Provider suspends or terminates the Foodora Pro Service in accordance with the provisions of the Foodora Pro GTC.
4.4. The payment of the Subscription Fee authorises the Subscriber to use the Foodora Pro Service for one month, six months or one year, depending on the selected Subscription Period. When the technical feature becomes available, the Consumer will be entitled to change the duration of the Subscription Period by changing the settings on the platform, after payment of the Subscription Fee, in which case the Consumer's subscription shall be modified after the expiry of the already paid Subscription Period. The Service Provider automatically charges the Subscription Fee for the new Subscription Period before the last hour of the current Subscription Period.
4.5. The duration of the first Subscription Period shall be one calendar month/half year/year from the date of confirmation by the Service Provider, after successful verification of the Payment Method, depending on the Subscription Period chosen by the Consumer. In case the Subscription is automatically renewed, then the new Subscription Period shall be one month/half year/year from the expiry of the previous Subscription Period, following successful payment. The Subscription Period expires on the day, in the hour and minute that corresponds to the start date, hour and minute. If in the calendar month in which the Subscription Period expires, there is no day in the calendar month that corresponds to the start day, the Subscription shall expire on the last day of the month following the first day of the Subscription Period, in the hour and minute that corresponds to the hour and minute of the start of the Subscription Period.
4.6. The Service Provider shall issue a receipt for each Subscription Period and send it to the Subscriber in email.
4.7. The subscription of the Subscriber is automatically renewed in the last two hours of the Subscription Period, unless the Subscriber has previously terminated the Foodora Pro Service in accordance with but after the automatic charge has already taken place, i.e. the Subscription has been renewed, the Subscriber's termination will apply for the following month, i.e. the Subscription will terminate in the last minute of the last hour of the following Subscription Period.
4.8. If the Service Provider enables, the Subscriber can also subscribe to a different Subscription Period during a current Subscription Period, but the new Subscription Period will only start after the expiry of the current Subscription Period. In case changing the Subscription Period is enabled by the Service Provider and the Subscriber subscribes to another Subscription Period during the current Subscription Period, the Service Provider will charge the Subscription Fee for the new Subscription Period through subscribing to the new Subscription Period, using the selected Payment Method.
4.9. Consumers who do not have a payment obligation for their first Subscription Period for one of the reasons detailed in this GTC document (“Free Subscription Period”), must still provide their credit card or debit card data during the subscription process as described in sections 3.3-3.5. The Service Provider verifies the provided data by charging the entered card with an amount of 0 HUF. In such case, the system will charge the Subscription Fee for the first time before the last hour of the Free Subscription Period, in case the Subscriber has not cancelled the subscription or the Service Provider has not suspended or terminated the Foodora Pro Service in accordance with the provisions of the Foodora Pro GTC. In this case, the Service Provider charges the Subscription Fee for the Subscription Period for which the subscription was applied and for which the Consumer has no payment obligation, unless the Subscriber subscribed for a Subscription Period of a different duration, in accordance with the provisions of section 4.8.
4.10. The Subscriber shall be responsible for ensuring that the data on the Payment Method user interface are correct throughout the entire subscription period. If the payment instrument applicable to the Payment Method cannot be charged with the amount of the Subscription Fee when it is due (whether due to insufficient funds or for any other reason), the Foodora Pro Service will terminate with to the Subscriber upon the expiry of the Subscription Period. If the Subscriber intends to resume using the Foodora Pro Service, then the it shall re-subscribe to the Foodora Pro Service in accordance with the terms set forth herein.
4.11. The Service Provider reserves the right, to modify the Subscription Fee at any time, at its sole discretion. The Service Provider shall notify any changes of the Subscription Fee to the Subscriber via email, sent to the email address provided on the Platform at the time of registration, at least 45 days prior to the effective date of the changes. The new Subscription Fee will apply to all Subscribers from the first Subscription Period following the effective date, i.e. the new Subscription Fee will be charged from the first charge following the effective date. If the Subscriber does not intend to use the Foodora Pro Service with the updated Subscription Fee, then it must cancel the subscription to the Foodora Pro Service by the start of the first Subscription Period following the effective date of the revised Subscription Fee, as provided in section 6. If the Subscriber fails to cancel the Subscription until the deadline, the Subscription is automatically renewed at the revised Subscription Fee, in accordance with section 4.3.
4.12. Considering the fact that the use of the Service can begin immediately after the successful payment of the Subscription Fee and the confirmation thereof, thus the Subscription Fee cannot be refunded to the Subscriber after successful payment, except in case of termination within 14 days as provided in section 6.2.
4.13. From time to time, the Service Provider may offer a discounted Subscription Fee to the Consumers. Such discounted Subscription Fees are only valid for the specified period. However, following the expiry of the Trial Period or the discount period, unless the Subscriber already cancelled the Foodora Pro Service in accordance with section 6 of the Foodora Pro GTC, the subscription is automatically extended by the Subscription Period for which the Consumer has used the discounted Subscription Fee, and in the period following the Trial Period or the discount period, the Service Provider shall automatically charge the payment instrument specified in the Payment Method with the amount corresponding to the Subscription Fee applicable for the specified Subscription Period. Before the expiry of the Trial Period or the discount Subscription Period, the Subscriber must expressly cancel the subscription to the Foodora Pro Service as detailed in section 6 if it does not wish to be charged the current Subscription Fee by the Service Provider and have the subscription to the Foodora Pro Service automatically renewed.
5. foodora Pro Discounts
5.1. The Service Provider reserves the right to modify the range of the current Foodora Pro Discounts. The range of Foodora Pro Discounts can include discounted delivery (reduced up to 0 HUF), percentage or fixed amount reduction of the purchase price of the products, and non-transferable coupons exclusively provided to and redeemable by Subscribers. The Service Provider may unilaterally modify the type of Foodora Pro Discounts available, their availability, the details of each Foodora Pro Discount, the conditions of their use, define new types of Discount Types or cancel them at any time.
5.2. The Subscriber can find out about the currently available Foodora Pro Discounts in the "Manage Subscription" menu or when placing an Order, on the interface for contents of the shopping basket before placing the Order, or when finalising the Order.
5.3. The Subscriber may only receive the Foodora Pro Discounts provided the Payment Method has been successfully verified and the confirmation of the start of the Foodora Pro Service is received on the Platform. With the successful subscription, all Foodora Pro Discounts automatically become available, i.e. certain Foodora Pro Discounts available with the relevant Foodora Partner (e.g. discount delivery, reduced purchase price of the product, etc.) will be applied to the Order without any further action required by the Subscriber.
5.4. The Foodora Pro Discounts can only be used for orders placed through the Platform in Hungary, and, if these are only usable during a specified period, will expire at the end of the designated period. Each Foodora Pro Discount not used by the Subscriber until the end of the specified period will no longer be able to be validly used. If the Subscriber's subscription is terminated during the designated period for the use of the Foodora Pro Discount, the discount will no longer be able to be validly used after the termination of the subscription.
5.5. Foodora Pro Discounts can only be used for Orders placed with Foodora Pro Partners. Foodora Pro Partners are the ones marked as "pro" on the Platform. The Foodora Pro Discounts are not available with all Partners, and the list of Foodora Pro Partners is continuously subject to change. In accordance with the provisions of the Consumer GTC, only Partners that deliver to the Subscriber's address will be displayed to the Consumer on the Platform, and therefore not all Foodora Pro Partners are displayed to the Consumer on the Platform, depending on the address. The type and amount of certain Foodora Pro Discounts may vary depending on the specific Foodora Pro Partner. Certain Foodora Pro Discounts may vary depending on the delivery address, even at the same Foodora Pro Partner.
5.6. The use of specific Foodora Pro Discounts may also be subject to additional conditions. In particular, delivery fee reduced to 0 HUF is only available for a specific delivery address if the amount of the delivery fee discount granted under the Foodora Pro Service, as unilaterally determined by the Service Provider, equals or exceeds the amount of the delivery fee currently applicable to the same address by the specific Foodora Partner with a non-Foodora Pro Subscription. The Service Provider will always display the discount delivery fee applicable to the specific delivery address on the Platform with the "pro" marking. In order to qualify for the use of the Foodora Pro Discounts, the minimum order value set by the Service Provider and displayed on the Platform must be reached by the Subscriber's shopping basket. The minimum order value may be different from the general minimum order value set for the Partner (which is not exclusively applicable to Foodora Pro orders) that is always displayed to the Subscriber when the Basket is being put together. The availability of some Foodora Pro Discounts may vary depending on the selected ordering method - home delivery or pick-up.
5.7. Foodora Pro Discounts not related to the delivery fee, including but not limited to percentage discounts available only to Foodora Pro Subscribers (hereinafter: "Pro Deal Discounts"), cannot be combined with the Flash Deal service discount. If the Subscriber intends to use the Flash Deal Service, then it will not be able to use the Pro Deal Discounts.
5.8. When using a coupon to redeem a discount or using a Flash Deal Discount, all Foodora Pro Discounts, excluding Pro Deal Discounts, automatically appear on the summary page prior to placing the Order and will be included in the total amount of the Order, if the minimum order value and other requirements set forth above are met and the Order can be placed. The discounts redeemed with the coupon must be added to the basket by the Subscriber separately. The Subscriber may only combine other offers and discounts outside the range of Foodora Pro Discounts with the Foodora Pro Discounts if the Foodora Pro Discounts allow this.
5.9. Foodora Pro Discounts are for the Subscriber's personal use only. The Foodora Pro Service and the rights and benefits thereunder may not be shared with or transferred to others. In the case of an employer account, Foodora Pro Discounts are also for personal use only, and no VAT invoice can be issued to the company by the Service Provider (even if so requested).
6. Termination of the Foodora Pro Service
6.1. Subscription to the Foodora Pro Service commences contractual performance, therefore the Subscriber shall not have the right to withdraw from the contract.
6.2. Within 14 days following the date of subscription to the Foodora Pro Service, the Subscriber may terminate the contract of the Foodora Pro Service without giving any justification. In case the Subscriber wishes to exercise the right of termination, it must send a clear notice of termination(without format requirements) to the Service Provider, via post or email to the mailing address or email address of the Service Provider, and this right may also be exercised using the template notice of termination provided in Annex I. The Subscriber shall be deemed to have exercised its right of termination in time, if the notice of termination is sent before the expiry of the above deadline.
6.3. If the Subscriber exercises the right of termination within 14 days in time, the Service Provider shall refund the Subscriber the total Subscription Fee paid, in the same way as it was paid. The Service Provider has 14 days implement the repayment.
6.4. The Subscriber is entitled to refund within 14 days only if it had subscribed to the Foodora Pro Service for the first time using its Foodora Account, or changed the Monthly Subscription Period after the first subscription. If the Subscriber has subscribed to the Foodora Pro Service more than one time, it shall not be entitled to a refund for cancellations (terminations) made within 14 days in the subsequent subscription cycle, in order to avoid abuse.
6.5. The Subscriber may cancel the subscription to the Foodora Pro Service at any time by clicking on the "I wish to unsubscribe" link in the "Manage Subscription" section of the Foodora Account. If any problem arises while using the unsubscribe link, the Subscriber may also contact the customer service of the Service Provider directly through the "Customer Service" menu available on the Platform, as detailed in sections 10.7 and 10.8.
6.6. If the Subscriber exercises the right of termination within the 14-day period, the Service Provider immediately terminates the Foodora Pro Service for the Subscriber, after refunding the Subscription Fee as set out in section 6.3, and the Consumer will no longer be able to use the Foodora Pro Discounts for the subject month.
6.7. If the Subscriber terminates the Foodora Pro Service, then the Subscriber may continue to use the Foodora Pro Discounts for the subject month, until the end of the Subscription Period. With unsubscribing, the subscription automatically terminates at the end of the current Subscription Period. The Subscriber is not entitled to any full or partial refund for cancelled Foodora Pro Subscriptions before the end of the Subscription Period.
7. Amendments
7.1. The Service Provider reserves the right to modify the Foodora Pro GTC at any time, at its sole discretion.
7.2. The Service Provider shall notify the Subscriber of any changes to the Foodora Pro GTC by email or as otherwise specified in section 8, at least 15 days prior to the effective date of such modifications.
7.3. If the Subscriber does not accept the changes, it may terminate the subscription to the Foodora Pro Service before the changes take effect. Once the changes take effect, the Subscriber's kept subscription to the Foodora Pro Service constitutes acceptance in full of the modified terms and conditions, discounts and changes to the Foodora Pro Service.
8. Notices
8.1. In order to ensure that the Subscriber receives timely information from the Service Provider regarding the Foodora Pro Service, the relevant subscription and the Foodora Pro GTC (other than marketing information), the Subscriber agrees that the Service Provider may notify the Subscriber through any of the following means: email sent to the email address provided upon registration for the Platform, push notifications and in-app notifications.
8.2. Any such notice shall be deemed to be delivered at the time the notification is sent by the Service Provider. If the Service Provider uses more than one notification method at the same time, the date and time of the earliest notification shall be deemed to be time of delivery.
9. Data processing
9.1. Detailed rules applicable to the processing of personal data of the Subscriber are set out in the Privacy Policy of the Service Provider https://www.foodora.hu/adatkezelesi-tajekoztato.
9.2. By accepting the Foodora Pro GTC, the Subscriber acknowledges that the Service Provider can send non-marketing type emails and/or text messages in relation to the Foodora Pro Service and the subscription.
10. Defective performance, complaints and dispute resolution
10.1. In case of non-compliant performance of the Service Provider, the Subscriber may request a proportionate reduction of the remuneration or withdraw from the contract.
10.2. The Subscriber may not, due to the nature of the Service, request repair or replacement from the Service Provider, nor may the Subscriber repair the Service itself or have it repaired by a third party.
10.3. The Subscriber may change from one warranty right to another. The Subscriber shall pay the costs caused by the change of warranties to the Service Provider, unless the changes is due to reasons attributable to the Service Provider or it was otherwise justified.
10.4. After discovering the defect, the Subscriber shall immediately inform the Service Provider about it. The deficiency communicated within two months of discovery shall be considered by the Service Provider as communicated without delay. The Subscriber shall be liable for any damage resulting from the delayed notification.
10.5. The Subscriber's warranty claim shall lapse after two years after the date of performance.
10.6. In case of any dispute between the Service Provider and the Subscriber, the parties shall endeavour to settle the dispute through amicable negotiations.
10.7. In the event of any complaint or claim, the Subscriber can contact the customer service of the Service Provider via one of the following contact details:

10.8. A live chat can be initiated with an administrator regarding any problem experienced, via the chat window which is available from Monday to Sunday from 08:00 to 01:30. The Subscriber can also find answer to the question in the "Frequently Asked Questions (FAQ)" section of the "Customer Service" window.
10.9. The Service Provider's complaint management processes are always free of charge.
10.10. The Service Provider reviews and, if possible, immediately resolves any issues requiring an immediate solution, and in all other cases will respond to the complaint within 24 days.
10.11. If the problem cannot be solved in any other way, the Service Provider may initiate a telephone call to the Subscriber. If the Service Provider contacts the Subscriber in connection with a complaint, the Service Provider shall record the Subscriber's telephone call complaint for the purpose of handling and documenting the complaint, and shall keep the voice recording for 5 years from the date of recording. If the Subscriber does not consent to the recording of the telephone conversation by the Service Provider in accordance with the provisions of the Privacy Policy, the Subscriber may submit the complaint via chat, postal mail (1243 Budapest, Pf. 655) or email (info@foodora.hu). The Subscriber may request a copy of the audio recording of the telephone conversation, which the Service Provider is obliged to comply with within 25 days of receipt of the relevant request. The Subscriber may request the audio recording by post (1243 Budapest, Pf. 655) email (info@foodora.hu). The Service Provider shall provide the copy of the sound recording free of charge (via postal mail).
10.12. The Subscriber is obliged to cooperate with the Service Provider in the course of review of the complaint and to provide any necessary information and documents.
10.13. If the Subscriber's complaint is rejected in whole or in part, or if the deadline specified above for the review of the complaint has expired without result, the Subscriber may contact the competent authorities of its residence:

10.14. The Subscriber also has the right to take the complaint to court in the event of a dispute
11. Miscellany
11.1. The Foodora Pro GTC is solely for the benefit of the parties and is not for the benefit of any other person or entity, with the exception of affiliates and subsidiaries of the Service Provider.
11.2. There is no code of conduct pursuant to Act XLVII of 2008 on the Prohibition of Unfair Business-to-Consumer Commercial Practices available.
11.3. The Subscription Fee is not customised to the consumer based on automated decision-making.
11.4. If the Service Provider does not insist that the Subscriber fulfil any of its obligations under the Foodora Pro GTC, or if it does not enforce its rights against the Subscriber, or if it delays in doing so, this should not mean that it has waived its rights against the Subscriber or that the Subscriber is no longer obliged to fulfil its obligations. The Service Provider may waive such rights only in writing, and this does not automatically waive any rights in relation to the Subscriber's subsequent omission.
11.5. If any provision of the Foodora Pro GTC is deemed to be unlawful, void or unenforceable, such provision shall be enforceable to the extent permitted by applicable law, and the unenforceable portion shall not affect the validity and enforceability of any remaining provisions.
